These Terms and Conditions (the “Agreement”) govern your purchase of, access to, and participation in Capital Gains University (“CGU”), including any associated referral partner programs, advisor programs, incentive programs, websites, software tools, communication systems, training materials, online communities, and related services.
Capital Gains University is owned and operated by Simplified Holdings, Inc. d/b/a Integrated Business Financing (“Company,” “we,” “our,” or “us”).
By purchasing, accessing, or participating in Capital Gains University, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.
IMPORTANT DISCLAIMER: Capital Gains University is an educational platform only. The Company does not provide legal, tax, accounting, investment, securities, or financial advisory services.
1. Eligibility Requirements
1.1 Age Requirement
You must be at least eighteen (18) years of age to purchase or participate in Capital Gains University unless you have express consent from a parent or legal guardian.
1.2 Legal Eligibility
To become a referral partner or advisor, you must be legally eligible to work in the United States and comply with all applicable federal, state, and local laws.
1.3 Company Discretion
The Company reserves the right to deny participation, terminate access, or revoke eligibility where permitted by law, including for violations of these Terms, suspected fraud, misconduct, abuse, deceptive marketing practices, or noncompliance with Company policies.

Capital Gains University is intended solely for educational and informational purposes.
2.2 No Professional Advice
Simplified Holdings, Inc. d/b/a Integrated Business Financing does not provide legal advice, tax advice, accounting advice, financial advice, investment advice, securities advice, or professional advisory services.
2.3 Illustrative Examples Only
All examples, case studies, projections, hypothetical outcomes, earnings references, referral examples, financing examples, and success stories presented within the course are illustrative only.
2.4 No Earnings Guarantees
Any outcomes referenced within the course represent potential outcomes only. No earnings, commissions, referral fees, financial results, business success, approvals, funding outcomes, or other results are guaranteed.
2.5 Individual Results Vary
Your results depend on numerous factors including experience, effort, business skills, market conditions, regulatory changes, and economic factors beyond the Company’s control.
2.6 No Business Opportunity
Capital Gains University is an educational training program and is not intended to be a franchise, business opportunity, employment offer, securities offering, or guaranteed income opportunity.
3. Course Access and Ownership
3.1 Course Access
Purchase of the Capital Gains University course is a one-time purchase that grants access to course materials for so long as the platform and related services remain commercially available, unless:
· your account is terminated for violating these Terms;
· your account is terminated for breach of any referral partner or advisor agreement;
· the Company discontinues the platform or related services; or
· access is otherwise restricted under applicable law.
3.2 Course Updates
The Company may periodically update, revise, remove, expand, or modify course content, training modules, software resources, and program materials.
3.3 Future Updates
Access to future updates may be provided to active course members unless otherwise stated.
3.4 Platform Modifications
The Company reserves the right to modify course content, tools, technologies, incentives, offerings, and platform structures at any time.
4. Intellectual Property Rights
4.1 Ownership
All Capital Gains University materials, including but not limited to:
· course videos;
· written content;
· graphics;
· branding;
· systems;
· scripts;
· software tools;
· onboarding materials;
· training resources;
· CRM structures;
· marketing templates;
· workflows;
· downloads; and
· educational materials
are proprietary intellectual property owned exclusively by Simplified Holdings, Inc. d/b/a Integrated Business Financing.
4.2 Restrictions
The contents of Capital Gains University may not be:
· copied;
· reproduced;
· distributed;
· shared;
· sold;
· sublicensed;
· modified;
· republished;
· reverse engineered;
· recorded;
· transferred to third parties; or
· represented as your own work.
4.3 Limited License
You are granted a limited, revocable, non-exclusive, non-transferable license for personal educational use only.
4.4 Enforcement
Unauthorized use, duplication, distribution, or reproduction of materials may result in termination of access, legal action, and monetary damages.
5. Referral Partner Eligibility and Onboarding
5.1 Onboarding Requirements
Before becoming eligible to submit your first referral, you must complete all onboarding requirements established by the Company.
5.2 Required Steps
Required onboarding steps may include:
· completion of required course sections;
· passing assessments;
· submission of required onboarding information;
· onboarding calls;
· execution of applicable agreements; and
· submission of tax documentation including IRS Form W-9.
5.3 Approval Required
Access to referral tools, links, commissions, incentives, or payouts is contingent upon successful completion and approval of onboarding requirements.
5.4 Compliance Obligations
Referral partners must comply with all Company marketing standards, advertising policies, and applicable laws.
6. Referral Link Subscription Terms
6.1 Initial Access
Your unique referral link is provided free of charge for the first sixty (60) days following course purchase unless otherwise stated.
6.2 Automatic Renewal
After sixty (60) days, your referral link subscription will automatically renew at a recurring rate of $19.99 per month unless cancelled.
By enrolling, you authorize the Company to charge your payment method automatically each month until cancellation.
6.3 Cancellation
You may cancel your referral link subscription at any time by emailing [email protected] or through any available account management portal.
Cancellation will apply prospectively and will not retroactively refund prior subscription charges unless otherwise required by law.
6.4 Billing Acknowledgment
You acknowledge that subscription charges apply regardless of:
· course completion status;
· onboarding completion status; or
· referral activity.
6.5 Subscription Modifications
The Company reserves the right to modify subscription pricing, features, or services upon reasonable notice where required by law.
7. Referral Partner and Advisor Status
7.1 Active Status Requirement
You must maintain active referral partner or advisor status in order to remain eligible for commissions, referral fees, incentives, rebates, bonuses, or giveaway eligibility.
7.2 Separate Agreements
Referral partner and advisor opportunities may be governed by separate agreements and program policies.
7.3 No Guaranteed Acceptance
Purchase of any advisor program does not guarantee acceptance into any advisor ecosystem, network, or opportunity.
7.4 Refunds for Ineligible Participants
Individuals deemed ineligible for advisor participation may receive a refund within thirty (30) days where applicable.
7.5 Notification
Notices regarding approval, denial, suspension, or termination may be sent to the email address provided during registration.
8. Advisor Program Terms
8.1 Separate Agreements
Advisor opportunities are governed by separate advisor agreements.
8.2 Compliance
Advisor eligibility, payout eligibility, and participation are subject to ongoing compliance with Company policies and applicable law.
8.3 Company Rights
The Company may suspend or terminate advisor participation for violations of policies, misconduct, fraud, abuse, or other legitimate business reasons.
9. Incentive Programs
9.1 Incentive Eligibility
Eligible referral partners and advisors may qualify for incentive compensation opportunities.
9.2 No Guaranteed Incentives
Incentives, bonuses, rebates, giveaways, or enhanced compensation opportunities are discretionary and are not guaranteed.
9.3 Modifications
Incentive structures, qualification criteria, payout schedules, and promotional opportunities may be modified, suspended, or discontinued at any time.
9.4 Compliance Requirement
Participants must remain in good standing and comply with all policies and agreements to remain eligible.
10. Giveaway and Sweepstakes Terms
10.1 Separate Official Rules
Any giveaway, drawing, contest, or sweepstakes operated by the Company shall be governed by separate Official Rules incorporated by reference.
10.2 No Purchase Necessary
No purchase is necessary to enter or win where prohibited by law.
10.3 Eligibility
Eligibility requirements, entry methods, prize values, timelines, winner selection procedures, and restrictions shall be disclosed in the applicable Official Rules.
10.4 Taxes
Winners are solely responsible for any taxes, fees, reporting obligations, or governmental assessments associated with prizes.
10.5 Disqualification
The Company reserves the right to disqualify participants for fraud, abuse, manipulation, policy violations, misconduct, or failure to satisfy eligibility requirements.
11. Refund Policy
11.1 Course Refunds
You may request a refund within thirty (30) days of your original course purchase date by emailing [email protected].
11.2 Subscription Charges
Subscription charges associated with referral links, advisor programs, software tools, or recurring services may be governed by separate cancellation policies.
11.3 Abuse Prevention
The Company reserves the right to deny refunds in cases involving:
· fraud;
· chargeback abuse;
· intellectual property violations;
· unauthorized distribution of materials; or
· deceptive conduct.
11.4 Processing Time
Approved refunds may take several business days to process depending on payment processor timelines.
12. User Conduct
12.1 Prohibited Conduct
You agree not to:
· misrepresent yourself;
· make false or misleading statements;
· provide unauthorized legal, financial, or investment advice;
· make misleading income claims;
· engage in deceptive marketing practices;
· misuse Company branding;
· violate applicable laws;
· misuse referral systems; or
· engage in conduct harmful to the Company or third parties.
12.2 Independent Actions
The Company is not responsible for statements, promises, or representations made by participants to third parties.
12.3 Compliance Responsibility
You assume sole responsibility for your conduct and compliance with applicable laws.
13. Privacy and Electronic Communications
13.1 Privacy Policy
Your use of Capital Gains University is also governed by the Company’s Privacy Policy, which is incorporated into these Terms by reference.
13.2 Electronic Communications
By using the platform, you consent to receive communications electronically, including notices, disclosures, agreements, invoices, and updates.
13.3 Electronic Signatures
You agree that electronic signatures and electronic acceptance of agreements shall have the same legal effect as handwritten signatures.
14. Indemnification
You agree to indemnify, defend, and hold harmless Simplified Holdings, Inc. d/b/a Integrated Business Financing and its affiliates, owners, officers, employees, contractors, instructors, agents, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or legal fees arising from:
· your conduct;
· your marketing activities;
· your referrals;
· your business activities;
· your violation of these Terms;
· your violation of applicable laws; or
· your interactions with third parties.
15. Termination Rights
15.1 Company Rights
The Company reserves the right to suspend or terminate:
· accounts;
· referral links;
· incentive eligibility;
· platform access; or
· participation in Company programs
for violations of these Terms, suspected fraud, abuse, deceptive conduct, intellectual property violations, nonpayment, or other legitimate business reasons.
15.2 Effect of Termination
Termination shall not affect commissions already earned and approved prior to termination unless fraud, misconduct, chargeback abuse, or policy violations are involved.
15.3 Immediate Termination
Termination may occur immediately where necessary to protect the Company, users, or third parties.
16. Disclaimer of Warranties
All services, content, software tools, and materials are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied.
To the fullest extent permitted by law, the Company disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted availability.
17. Limitation of Liability
17.1 Excluded Damages
To the fullest extent permitted by law, Simplified Holdings, Inc. d/b/a Integrated Business Financing shall not be liable for:
· indirect damages;
· incidental damages;
· consequential damages;
· special damages;
· punitive damages;
· lost profits;
· lost business opportunities;
· loss of data; or
· business interruption.
17.2 Liability Cap
The Company’s maximum aggregate liability under any claim shall not exceed the total amount paid by you to the Company during the twelve (12) months preceding the event giving rise to the claim.
18. Arbitration and Dispute Resolution
18.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the platform, or participation in Company programs shall be resolved through binding individual arbitration administered in the State of Florida.
18.2 Waiver of Jury Trial
You and the Company waive any right to a jury trial.
18.3 Class Action Waiver
All claims must be brought in an individual capacity and not as part of any class action, collective action, representative proceeding, or mass arbitration.
18.4 Exceptions
Either party may seek temporary injunctive relief for intellectual property violations or unauthorized use of proprietary materials.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.
20. Force Majeure
The Company shall not be liable for delays, interruptions, or failures in performance resulting from causes beyond its reasonable control, including natural disasters, cyberattacks, internet outages, governmental actions, labor disputes, pandemics, payment processor failures, or acts of God.
21. Severability
If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in full force and effect.
22. Entire Agreement
These Terms, together with any incorporated policies or separate agreements, constitute the entire agreement between you and the Company regarding Capital Gains University.
23. No Waiver
Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of any rights.
24. Assignment
You may not assign or transfer your rights under these Terms without prior written consent from the Company. The Company may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.
25. Modifications to Terms
The Company reserves the right to modify, revise, update, or replace these Terms at any time.
Material changes may be communicated through the website, email, or platform notifications.
Continued use of Capital Gains University following modifications constitutes acceptance of the updated Terms.
